Chet Holmes Recruiting Contract
Definitions
“CHI” means Chet Holmes International
“CHI Representatives” means any management, recruiters, employees, or contractors associated with Chet Holmes International.
Recruiting Service Fees, Deposit and Expenses
The unique service CHI offers is for a search fee of $9,000. This fee includes normal expenses for advertising, reference checks, and personality tests. If requests are made for special advertising or other expenses outside of our usual expenses, there may be additional charges. We require a non-refundable 50% deposit paid by credit card at the time you authorize your search. When placement is complete, your credit card will be billed the remainder of the search fee. You guarantee that the card will remain active until all payments have been completed.
Additional Candidates
If more than one candidate is hired as a result of this search, each additional hire will be billed at a reduced rate of only $7,000. As such, we will provide all the services as outlined above for each. This offer is only available for additional hires for the same position. If the second position is in a different location, or requires a different set of qualifications, or for any reason is essentially a different search, the fee will not be discounted as CHI incurs extra expenses in this case.
90 Day Guarantee
We guarantee the candidate for 90 days from the date of hire. If the candidate is hired and then terminated for cause or voluntarily leaves during the 90 calendar day time period, we will conduct one additional search according to the following schedule:
• 0-30 days: no additional cost, other than expenses
• 31-60 days: +$2,000 and expenses
• 61-90 days: +$4,000 and expenses
In order to be eligible for the guarantee, we must be notified before the decision is made to terminate the candidate so we can assist you with the transition. This guarantee applies only if full payment has been received. This is part of the service we provide with your search.
Additional Screening Services
For an additional fee, we can facilitate a credit check, criminal background check or undertake other more investigative services as you require. However, it will be your sole responsibility to ensure the candidate is a good fit for the position you are hiring for and the culture of your company; the final decision to hire is always yours.
Cancellation of Search
If you decide at any point after the search has started to discontinue the search before it is completed, you will forfeit your deposit and you will be billed for actual expenses incurred.
Completed Search
A search will be deemed to have been completed when an offer is made and accepted by a candidate. You agree to notify us as soon as an offer has been accepted. If for any reason you should elect to hire a candidate for a “trial period” (even if unpaid), we will consider this to be a completed search, and you will be billed the remainder of the search fee. Of course, your 90-day guarantee will still apply.
Presentation of Candidates
CHI undertakes significant efforts to find and qualify candidates. Because most candidates are looking at more than one position, there is significant risk that candidates not interviewed and hired in a timely manner may elect to take other positions. Time is of the essence. Once CHI presents one or more candidates for your consideration, you agree to interview and make a hiring decision on the candidate(s) within 10 business days. CHI will make every effort to work with you and accommodate your schedule, however, if a hiring decision is not made within this period, CHI reserves the right to cancel the search and at CHI’s discretion, you will forfeit your deposit.
Exclusive Rights
CHI shall have exclusive rights to conduct the search for the position(s) that are discussed and agreed upon as part of the search contract. You may elect to hire a candidate for the position that has come to you through some means other than the CHI search process, but if you do so, you agree to notify CHI of this event, and you will be billed the remainder of the search fee.
Recruiting Process and Liabilities
We do not meet face-to-face with your candidate; we find, screen, qualify, check references and then verify the candidate’s qualifications before we send them to you. We will do our utmost to obtain current and reliable information about the candidate, however, neither CHI nor CHI Representatives shall be liable under any circumstances whatsoever for any misleading or false information provided by a third party. Nor shall CHI or CHI Representatives be liable for any action taken, or not taken, on the part of a candidate that is presented by CHI and hired by you.
Criminal Background Checks
CHI offers a criminal background check through a third-party for an additional fee of $100. CHI does not ask questions of any candidate regarding criminal history, nor do we do any search of our own. CHI will not be liable for any false or incomplete criminal history reported or not reported to you including but not limited to information provided by the candidate or any background check firm.
Identity of the Company, Direct Responses
CHI will not knowingly disclose the name of your company in our advertising or in our discussions with any candidate until the candidate passes through our vetting process. Once we are ready to present a candidate to you, CHI will identify your company in preparation for the candidate’s final interview(s) with you. However, candidates are sometimes able to identify the company from clues in the advertising or the landing page, or other means. If this should occur, and a candidate attempts to contact your company directly, you agree to send the candidate to CHI for inclusion in our normal process.
Payments
I authorize Chet Holmes International to charge my card immediately for the initial 50% of the search fee of $9,000 and the balance upon completion of the search. My authorization to Chet Holmes International to charge my credit card also constitutes my acceptance of the terms and conditions as set forth in this Agreement.
Intellectual Property
The content of the landing pages, advertisements, interview forms, interview summaries, or other documents developed by CHI on your behalf, as well as the processes used by CHI in the search process are proprietary and the intellectual property of CHI. This content may not to be used by you or any third party for any purpose, commercial or non-commercial, without written consent of CHI.
Entire Agreement
This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This Agreement supersedes any prior written or oral agreements between the parties.
Severability
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
Applicable Law
This Agreement shall be governed by the laws of the State of California.
